Tom Swan

Tom is a head of our Corporate Finance practice group. He has a wide range of experience in corporate, restructuring and financial markets, with particular specialism in mergers and acquisitions, joint ventures and equity financings.

His sector focus is principally in upstream energy (both renewables and oil and gas), infrastructure, financial services, and technology. He is also a court reporter to the Court of Session on capital reductions, schemes of arrangement, restructuring plans and insurance and banking business transfer schemes.

Dual-qualified in Scotland and England & Wales.

  • Advising a UK energy supplier on its long-term joint ventures for the development of multiple projects for the production of hydrogen and supply to industrial users.
  • Advising the owners of the NorthConnect interconnector project on the sale of its UK assets to Cenos.
  • Advising an institutional investor on its £250 million co-investment arrangements for investment in UK focussed venture and growth capital funds.
  • Advising an interconnector developer on the proposed arrangements for the partial divestment of the project, and associated incorporated and unincorporated joint venture arrangements.
  • Advising Deltic Energy its farm-out of interests in the Pensacola and Selene UK offshore prospects to Shell UK, and its farm-out of the Selene prospect of Dana.
  • Advising a European institutional investor on the establishment of a platform to invest in UK forestry.
  • Advising Virgin Money on its up to £400 milion innovative joint venture with Salary Finance, and its banking business scheme under Part VII of the Financial Services and Markets Act 2000.
  • Advising a number of investment funds in connection with their investments in private funds and secondary disposals of such disposals, including an approx £190 million sale of an infrastructure fund investment; an approx US$150 million investment in a US-based private equity fund; and a £200 million investment in a UK and European focused debt fund.
  • Advising ARA Dunedin on its acquisition of London & Scottish Property Investments.
  • Advising UK electricity distributor on the divestment of a UK private electricity network.
  • Advising the Scottish Power Pension Trustee on its longevity swap with Abbey Life (a subsidiary of Deutsche Bank), covering circa £2 billion of pensioner liabilities.
  • Advising for the Trustee of the Scottish Hydro Electric Pension Scheme on the conversion of a longevity swap into a £776.5 million bulk annuity buy-in policy.
  • Advising Miller Homes on its joint venture with Present Made.
