Hannah is a Senior Associate in the employee share incentives team, based in Glasgow. She works with clients across a number of sectors, including both private and publicly-traded companies.
She provides advice and assistance on a wide range of share scheme and executive compensation work, including the implementation and administration of share plans, directors’ remuneration reporting and share scheme aspects of corporate transactions. Hannah also has experience in providing practical support in other areas, such as grant and vesting process management and participant communications.
- Designing, drafting and implementing tax-advantaged and “unapproved” share plans, and assisting with the ongoing operation of these.
- Advising tech startups on the implementation of an EMI-sub plan as part of their US parent equity incentive plan.
- Designing and implementing other forms of incentivisation arrangements including phantom share option schemes.
- Advising Ricardo plc on the ongoing operation of its various share incentive plans as well as the preparation of its Directors’ Remuneration Report.
- Advising Parsley Box plc on its AIM flotation including share option exercises immediately on admission and pre-IPO rollover of options.
- Advising Epic Games on the share incentive and employment related security aspects of its acquisitions of Tonic Games and SuperAwesome.
- Advising the selling shareholders of TV Squared on the share incentive aspects of the sale of the company to Innovid.
- Advising the selling shareholders of Optoscribe on the share incentive aspects of the sale of the company to Intel Corporation.
- Advising the selling shareholders of Capital Document Solutions on the share incentive and employment aspects of the sale of the company to Agilico.
