Commercial Contracts – Regulated Sectors

Financial Services

  • Acting for an investment manager on the procurement of multiple IT solutions as it moves from a build-to-buy model. Advising on compliance with Financial Conduct Authority (FCA) outsourcing-to-the-cloud requirements and related financial regulation as part of the contracting process.
  • Advising an investment manager on the early termination of a Software as a Service contract and the procurement of new Investment Book of Record software, in accordance with FCA and wider financial regulatory requirements.

Energy

  • Advising the Future Networks division of an electricity network operator on multiple industry and academic collaborations funded through Ofgem's Network Innovation Competition.
  • Supporting a utilities supplier on arrangements concerning a Power Purchase Agreement for the supply of electricity and steam from an energy from waste facility, on the termination and re-negotiation of multiple customer contracts and on the restructuring of its utility business.

Telecoms

  • Supporting a global telecoms business on negotiating a contract with a key customer for the worldwide roll out of a Unified Communications as a Service solution.
  • Advising a broadband provider on implementing Ofcom guidance prohibiting inflation-linked price increases in residential customer contracts and on various customer promotions.

Commercial Contracts – Unregulated Sectors

Sport

  • Supporting a sports governing body in negotiating a collaboration agreement relating to the introduction of reform relating to the amateur game. Including advice on IP ownership and licensing, the establishment of governance committees, the management of personal data and the subsequent engagement of national federations to implement the reform in their respective territories.
  • Advising a professional sports body on the terms of a commercial partnership with a new sponsor, including a comprehensive package of sponsorship benefits relating to the property and teams belonging to the sports body.

Trade Controls and Sanctions

  • Advising an investment administration and custody services provider on the application of Russian sanctions to its involvement with a trust settled by a sanctioned person; supporting on the submission of an application to OFSI for a licence to proceed with a transaction designed to affect its exit from those arrangements.
  • Advising an international drinks business on the application of sanctions imposed by the UK on Russia and Belarus, specifically in relation to the export of whisky.

Carbon Market

  • Advising a union for the international conservation of nature on updates to the Peatland Code, including disclaimers relating to the trading of carbon credits by project developers and the complaints procedure applicable under the Code.
  • Acting for various clients on agreements relating to generation and trading of carbon units.
