Matt Andrews

Matt is a Solicitor in our Banking and Finance team.

He has experience in advising on the Scots law aspects of securitisation and debt capital markets transactions for various asset types, including residential mortgage- and receivables-backed securitisations.

Matt has acted on some of the UK’s largest real estate finance deals, across a range of asset types including hotels, care homes, science parks and student accommodation. His practice also covers the Scottish aspects of funds finance transactions and financial services advisory work.

Matt is also a Notary Public registered with the Foreign, Commonwealth & Development Office.

Debt Capital Markets and Securitisation

  • Acting as Scottish counsel for Together Financial Services on the issue of £1.125 billion residential mortgage-backed notes, secured over residential properties in England, Wales and Scotland during a 12-month period and across four RMBS transactions (TABS 10, 11, 12 and 13)
  • Acting as Scottish counsel for Skipton Building Society on the issue of £778 million residential mortgage-backed notes, secured over residential properties in England, Wales and Scotland by Darrowby No. 6 plc
  • Acting as Scottish counsel for Atom Bank plc on the issue of £339 million residential mortgage-backed notes, secured over properties in England, Wales, Scotland and Northern Ireland, by Elvet Mortgages 2025-1 plc
  • Acting for a US-based investment bank on the Scottish aspects of a $600 million 2nd Lien note offering, funding the global operations of a multinational Canadian vehicle manufacturer with factories in Scotland
  • Advising a UK mortgage originator on the Scottish aspects of a forward flow arrangement with a specialist bank
  • Acting as Scots deal counsel on the securitisation of mortgages originated by Northern Rock known as the Granite portfolio
  • Advising the lenders on the transfer of Scottish credit card receivables as part of a portfolio sale

Real Estate Finance

  • Acting for the lenders in relation to the refinancings of the Crowne Plaza, Hilton Garden Inn, Marriott and Village Hotels
  • Advising a consortium of lenders on the €500 million financing of hostel and hotel assets located in the UK and Europe
  • Acting for the lenders on the Scots law aspects of the financing of a care home portfolio operated by a French borrower
  • Advising a high street bank on the refinancing of the Glasgow BioCity and Edinburgh Technopole science park portfolios
  • Advising the lenders on the Scots law aspects of acquisition and capex facilities in relation to a portfolio of 13 logistics assets

Funds Finance

  • ​​​​​Acting for a group of banks in providing credit facilities to investment fund vehicles established as Scottish limited partnerships to bridge capital calls on investors

Financial Products, Services and Regulation

  • Advising a large energy company on its obligations under the UK and EU financial markets regulations in connection with an offshore wind farm project
  • Providing legal opinions to a UK specialist lender in relation to the regulatory aspects of its investment banking accounts

Advising a consortium of lenders on the Scots law aspects of a €500m financing of hostel and hotel assets located in the UK and Europe

Acting for the lenders on the Scots law aspects of the financing of a care home portfolio

Advising the lenders on the Scots law aspects of acquisition and capex facilities in relation to a portfolio of 13 logistics assets in the UK
