Effective merger control strategy and execution are key considerations in the timing and success of a corporate deal. We recognise the importance of mergers, acquisitions and joint ventures (JVs) to our clients, and provide expert advice in relation to all competition aspects of such transactions. Identifying merger control risks, we help clients formulate their filing strategy, advising them on transaction structure and due diligence, and guiding their transaction through the merger control process. 

Moreover, our extensive sector knowledge means we are well placed to advise on the competition and regulatory interactions that crop up in merger and JV transactions in regulated sectors such as energy, transport, infrastructure, water and telecommunications.

Our services

We advise clients on all aspects of their transactions, from whether a merger notification is required, to drafting the case for clearance for submission to the relevant authority. We also advise on negotiating divestitures and undertakings when they are required to avoid in-depth merger investigations. 

We can support clients on appeals and other challenges arising from merger proceedings, and also advise third parties on their participation in merger investigations.

We are also in a position, given our international reach, to act for our clients in coordinating the process of securing multi-jurisdictional merger clearances.

Advising a major European utility on its engagement with the Competition and Markets Authority (CMA) as part of its phase two investigation under the Enterprise Act 2002 of the proposed merger of the retail businesses of Scottish and Southern Energy and Npower. 

Providing advice to investors in a major renewable energy infrastructure project on the implications of the corporate structure chosen for the project under the EU Merger Regulation and on its dealings with the European Commission in relation to the potential notification to the Commission.
