Shepherd and Wedderburn acts in sale of innovative Scottish tech company Odos Imaging

Shepherd and Wedderburn has acted for the shareholders (including Siemens Technology Accelerator) of Scottish technology company, Odos Imaging, in the sale of the company to Rockwell Automation.

Odos Imaging, which was founded in Edinburgh in 2010, develops three-dimensional time-of-flight imaging technologies for industrial applications. The acquisition enables Rockwell to continue to build on its portfolio of smart sensing and safety products for The Connected Enterprise, which brings together networks to create a common production platform, and allows manufacturers to access, analyse and act on production data in real time.

The Shepherd and Wedderburn corporate team was led on the transaction by partner Danny Lee and senior associate Joanna Monaghan. Commenting on the deal, Danny said: “Odos Imaging is a market-leader in industrial imaging applications, and it has been a pleasure to work with STA and the talented management team led by Chris Yates in securing an exit from an innovative and ambitious Scottish business.”

Chris Yates, CEO of Odos Imaging, added: “We are delighted to have successfully concluded this exit, which provides us a substantial platform to further develop our technology and market reach of our industrial 3D camera products. Rockwell Automation is the world’s largest company dedicated to industrial automation and security and a perfect match for the continuation of our strategy. Throughout the acquisition process, we were very impressed with the competence and professionalism of the entire advisory team, including Shepherd and Wedderburn. Despite a number of complexities in the transaction, they provided clear guidance and advice whilst ensuring the deal concluded within a challenging timeline. I would like to personally thank Danny, Joanna and the rest of the team for their efforts and significant contribution to this successful acquisition.”
